Acceptance of Terms

Lunacal LLC and Lunacal Private Limited own and provide Ring Jenny, a voice AI receptionist and call answering service that helps businesses answer calls, handle common customer questions, capture caller details, take messages, route calls, and assist with appointment or job booking where configured by the Business.

Ring Jenny is provided through ringjenny.com and its associated subdomains, mobile applications, mobile sites, dashboards, voice agents, phone numbers, integrations, and related software services. These are collectively referred to as the "Services." The websites and related interfaces are collectively referred to as the "Sites" or "Ring Jenny Sites."

In these Terms of Use, "Lunacal," "we," "us," or "our" refers to Lunacal LLC and Lunacal Private Limited, as specified under the "Contracting Entity and Applicable Law" section. "Ring Jenny" refers to the product, service, software, voice AI receptionist, call answering system, and related interfaces provided by Lunacal.

"You," "your," or "Business" refers to any individual or legal entity, along with its authorized team members, that registers for a Business Account or uses the Services available through the Ring Jenny Sites. Lunacal and the Business may be referred to individually as a "Party" and collectively as the "Parties."

By creating an account with Ring Jenny and accessing the Sites or Services, you confirm that you are authorized to accept these Terms of Use, the "Terms" or "Agreement," on behalf of yourself or the entity you represent. This includes acceptance of our Privacy Policy and compliance with laws and regulations governing your use of Ring Jenny during your Subscription Term. You represent and warrant that you have the authority, capacity, and legal right to enter into this Agreement on behalf of yourself or the entity you represent.

Any use of the Services is subject to these Terms. If you do not agree to all provisions of these Terms, you must not access or use the Sites or Services. Continued use of Ring Jenny constitutes your agreement to be bound by these Terms.

Lunacal reserves the right to modify, update, or amend these Terms at its sole discretion at any time, with or without prior notice. Updated Terms will be posted on the Ring Jenny Sites or sent to your registered email address. It is your responsibility to periodically review these Terms for changes. Your continued use of Ring Jenny after any updates are posted signifies your acceptance of the revised Terms.

By using Ring Jenny, you agree to use the Services solely for the purposes advertised on the Ring Jenny Sites. These purposes include answering business calls, assisting callers, collecting caller information, handling common customer enquiries, routing calls, taking messages, and helping with appointment or job booking where enabled.

You warrant that:

  • You represent a valid business intending to use Ring Jenny for legitimate business purposes.
  • The contact information you provide, such as email addresses, business details, and phone numbers, is accurate and active.
  • You have the right to connect your business phone number, website, calendar, CRM, or other business tools to Ring Jenny.
  • You will comply with all applicable laws related to call recording, call monitoring, telemarketing, privacy, consumer protection, telecommunications, and communications consent.

Failure to adhere to this section may result in termination of your account. We reserve the right to pursue any legal or equitable remedies for any breach of this section.

Definitions

  • Aggregate Data: Refers to anonymized, aggregated Business Data, Call Data, End User Data, or usage data used solely for statistical purposes and to enhance the functionality, quality, reliability, and performance of Ring Jenny.
  • Lunacal Data: Proprietary information belonging to Lunacal, including non-public details about Ring Jenny's features, functionality, models, workflows, voice agents, prompts, call handling logic, performance, operation, and service infrastructure.
  • Business: Any individual or legal entity, along with its authorized users, that subscribes to or uses Ring Jenny to engage with callers, customers, leads, clients, patients, prospects, or other End Users.
  • Business Account: The account created by a Business through the Ring Jenny Sites to access the Services, either through a trial or paid subscription.
  • Business Data: Proprietary information of the Business, including non-public electronic data provided by the Business to Lunacal for the use of Ring Jenny. This may include business name, services offered, locations served, opening hours, pricing guidance, FAQs, booking rules, emergency rules, call transfer rules, team details, scripts, knowledge base content, and integration settings.
  • Personal Information in Business Data: Any information that identifies or can be used to identify an individual, such as names, email addresses, phone numbers, caller details, appointment information, and other information provided to Lunacal in connection with Ring Jenny.
  • Call Data: Data generated, collected, processed, or stored in connection with calls handled by Ring Jenny. This may include caller phone numbers, call times, call duration, call recordings, call transcripts, summaries, voicemails, messages, call routing details, call outcomes, and notes generated from calls.
  • Content: Includes materials such as text, software, data, images, graphics, photos, audio, video, voice prompts, scripts, call flows, documentation, and any other content provided by Lunacal through Ring Jenny.
  • End User: Refers to individuals who call, message, book, enquire, or otherwise interact with a Business through Ring Jenny.
  • End User Data: Any data, including Personal Information, submitted by End Users while calling, messaging, booking, or interacting with a Business through Ring Jenny.
  • End User Account: Refers to accounts created by End Users through Ring Jenny's interfaces, if applicable, for interacting with Businesses.
  • Staff: Individual employees, contractors, agents, or representatives of a Business authorized to use Ring Jenny on behalf of the Business.
  • Subscription Term: Refers to the period during which your Business subscribes to Ring Jenny, as specified at the time of subscription.

Scope of Service Agreement

These Terms of Use govern your use of Ring Jenny, including, but not limited to, the process by which callers and End Users interact with your business through Ring Jenny, the way Ring Jenny answers calls, collects information, routes calls, sends summaries, and assists with bookings or enquiries based on your configuration.

By accessing or using Ring Jenny, you agree to these Terms of Use and consent to the terms outlined in the Ring Jenny Privacy Policy.

Ring Jenny is a software service and voice AI receptionist. Ring Jenny is not your employee, human receptionist, call centre, legal advisor, medical advisor, financial advisor, or emergency service provider. You are responsible for configuring Ring Jenny appropriately for your business and reviewing the information collected through the Services.

Relationship Between Lunacal, Business, and End Users

The End User acknowledges that, apart from their limited use of Ring Jenny Sites, phone numbers, voice agents, or interfaces to call, enquire, book, or communicate with a Business, there is no direct or legal relationship between Lunacal and the End User.

All matters related to services provided by the Business, including appointments, jobs, payments, refunds, cancellations, quotes, service quality, disputes, or customer support, shall be managed directly between the Business and the End User, in accordance with the terms and conditions agreed upon between them.

Lunacal shall bear no responsibility for the commercial or legal relationship between the Business and the End User.

The Business is responsible for ensuring that any statements, answers, booking rules, pricing information, availability, emergency instructions, or service descriptions provided through Ring Jenny are accurate and lawful.

AI Service Limitations

Ring Jenny uses artificial intelligence, automation, voice technology, telephony systems, and third-party integrations to provide the Services. You acknowledge that AI-generated responses, call summaries, transcripts, classifications, lead details, booking notes, and recommendations may not always be complete, accurate, or appropriate.

You are responsible for reviewing call summaries, transcripts, messages, bookings, and any other information generated by Ring Jenny before relying on them for business decisions.

Lunacal does not guarantee that every call will be answered successfully, that every caller will understand or complete the conversation, that every transcription or summary will be accurate, or that every booking, lead, or message will be captured without error.

You agree not to use Ring Jenny for emergency, life-threatening, highly sensitive, or legally critical communications unless you have appropriate human review, transfer rules, and fallback procedures in place.

Call Recording, Consent, and Communication Laws

The Business is solely responsible for complying with all laws and regulations that apply to call recording, call monitoring, caller consent, privacy notices, telecommunications, marketing communications, spam, consumer protection, and data protection in the jurisdictions where the Business operates or where its callers are located.

If call recording, call transcription, or call monitoring is enabled, the Business is responsible for ensuring that proper consent, notice, or disclosure is provided to callers where required by law.

Ring Jenny may provide tools, prompts, or settings to help Businesses disclose the use of AI, call recording, or call transcription, but the Business remains solely responsible for determining whether such disclosures are legally sufficient.

Fees & Payment Terms

You agree to pay all fees and charges as outlined on the Ring Jenny website and/or in these Terms of Use. You confirm that the address and email address provided in your account settings are valid business addresses, and Lunacal may send invoices to these addresses.

All charges invoiced by Lunacal for Ring Jenny are exclusive of taxes, levies, or duties imposed by applicable authorities. You are responsible for paying all such taxes, levies, or duties, except for taxes based solely on Lunacal's income. All fees paid to Lunacal under these Terms of Use are non-refundable unless otherwise required by applicable law.

Lunacal reserves the right to modify fees or pricing terms at any time at its discretion. Any changes will be posted on the Ring Jenny website and take effect immediately, unless otherwise stated.

Depending on your plan, fees may include subscription fees, usage-based charges, call minute charges, phone number charges, integration charges, setup fees, add-on fees, or other fees displayed at the time of purchase.

Payment Authorization and Invoicing

Lunacal will invoice you monthly, in advance or according to the billing terms shown at the time of subscription, for all amounts due. Each invoice will specify the fees applicable for the upcoming month of your Subscription Term or the usage fees applicable to the relevant billing period.

By providing credit card or other payment information during registration or at any point thereafter, you confirm that the payment method is valid and authorized. You also authorize Lunacal and its payment processors to charge the provided payment method for all amounts due under Ring Jenny invoices.

Nonpayment

If Lunacal charges your credit card or payment gateway and the payment fails, Lunacal reserves the right to suspend your access to Ring Jenny. If the applicable invoice remains unpaid for more than 10 days after the suspension date, or if you fail to negotiate a payment plan for the outstanding balance, Lunacal reserves the right to cancel your account.

Upon account cancellation due to non-payment, all unpaid amounts owed to Lunacal for use of Ring Jenny will become immediately due and payable. In such cases, Lunacal reserves the right to pursue any legal remedies available to recover the unpaid amounts.

Disputed Charges

If you wish to dispute any charge invoiced by Lunacal for Ring Jenny, you must notify us within 5 business days of the charge being applied to your credit card or payment gateway. Disputes may be submitted via email at [email protected]. Lunacal will review your submission and work with you to resolve the issue promptly.

Intellectual Property

We grant you a license to use Ring Jenny in accordance with these Terms of Use. You agree not to use, copy, modify, reformat, rent, lease, lend, frame, create derivative works, publicly display, download, store, reproduce, transmit, provide links to, republish, upload, post, reprocess, make commercial use of, or distribute the Services except as expressly permitted by these Terms. All rights not expressly granted under these Terms of Use are reserved.

Lunacal retains all rights, including but not limited to copyrights, patents, trade secrets, trademarks, and service marks associated with Ring Jenny, the Ring Jenny Sites, voice agents, software, workflows, call handling systems, prompts, scripts, models, interfaces, dashboards, and documentation, collectively the "Lunacal Intellectual Property." No rights in or to the Lunacal Intellectual Property are transferred to you under these Terms.

Neither Party will acquire any right, title, or interest in the Intellectual Property of the other Party.

Content within Ring Jenny that includes or incorporates Lunacal Intellectual Property may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or exploited in any way without prior written consent from Lunacal or the rightful owner, as applicable.

Confidential Information

Each Party acknowledges that the other Party may disclose business, technical, or financial information relating to its operations, referred to as "Confidential Information." Both Parties agree not to disclose or use the other Party's Confidential Information except as follows:

  • As reasonably necessary to fulfill their obligations or exercise rights under this Agreement;
  • With prior written consent from the disclosing Party; or
  • As required by law, court order, or other governmental authority or regulation.

Each Party agrees to safeguard the other Party's Confidential Information with the same degree of care it uses to protect its own Confidential Information of a similar nature, but in no event less than a commercially reasonable standard of care.

Confidential Information does not include information that:

  • Becomes publicly known without breach of any obligation owed to the disclosing Party;
  • Was known to the receiving Party before disclosure, without breach of any obligation owed to the disclosing Party;
  • Is independently developed by the receiving Party without breach of any obligation owed to the disclosing Party; or
  • Is lawfully received from a third party without breach of any obligation owed to the disclosing Party.

For clarity, nothing in this Section restricts Lunacal from using Lunacal Data or Aggregate Data as outlined in this Agreement.

By using Ring Jenny, you grant Lunacal permission to feature your name and logo in promotional material as a Ring Jenny customer, unless you notify us in writing at [email protected] that you do not want your name or logo used.

Business Data Obligations

Responsibility for Business Data

The Business is solely responsible for collecting, inputting, configuring, and updating all Business Data while using Ring Jenny. The Business must ensure the accuracy, quality, integrity, legality, reliability, and appropriateness of the Business Data.

The Business warrants that the Business Data will not:

  • Infringe or misappropriate any third party's copyright, trade secret, trademark, or other intellectual property rights;
  • Contain anything that is obscene, defamatory, harassing, offensive, misleading, unlawful, or malicious;
  • Cause Ring Jenny to provide inaccurate, illegal, or harmful information to callers; or
  • Violate applicable privacy, telecommunications, consumer protection, or advertising laws.

Ownership and Liability

Lunacal does not claim ownership of Business Data submitted through Ring Jenny and is not responsible for the deletion, correction, destruction, damage, loss, or failure to store any Business Data, except to the extent required by applicable law.

Indemnification

The Business agrees to indemnify and hold Lunacal, its subsidiaries, and affiliates harmless from any damage, loss, claim, demand, or cause of action arising from issues related to Business Data, Call Data, End User Data, or the Business's use of Ring Jenny, including but not limited to deletion, damage, use, misuse, inaccurate configuration, unlawful instructions, or failure to obtain necessary consent. This indemnification excludes instances where Lunacal is solely responsible for deletion or damage unrelated to the Business's breach of this Agreement.

Personally Identifiable Information in Business Data

The Business acknowledges and agrees that Lunacal's performance of this Agreement may require Lunacal to process, transmit, and/or store personal data included in Business Data, Call Data, and End User Data. This may include Personal Information of the Business's employees, callers, customers, leads, clients, prospects, or other End Users.

By submitting such personal data to Lunacal or allowing End Users to interact with Ring Jenny, the Business grants permission for Lunacal to process, transmit, and/or store this data solely to the extent necessary to fulfill its obligations under this Agreement, operate Ring Jenny, improve the Services, comply with law, and as otherwise described in the Privacy Policy.

The Business is responsible for acting as the data controller, while Lunacal acts as the data processor or service provider, or equivalent roles as defined by applicable laws, concerning all personal data provided by or through the Business. Both Parties agree to comply with all applicable data protection laws and regulations governing the processing of personal data.

Third-Party Services and Integrations

Ring Jenny may integrate with third-party platforms, including but not limited to telephony providers, calendar providers, CRM systems, messaging services, payment processors, analytics tools, email providers, and automation tools.

If the Business chooses to use third-party integrations with Ring Jenny, the following additional terms apply:

  • Where Ring Jenny interfaces with the Business's third-party account, Lunacal is not a party to the relationship between the Business and the third-party provider.
  • Lunacal is not responsible for the availability, security, performance, policies, fees, or actions of third-party providers.
  • Lunacal is not responsible for any data loss, error, delay, failed booking, failed message, failed call transfer, failed payment, or failed sync caused by a third-party service.
  • The Business is strongly advised to review and comply with the Terms of Service and Privacy Policy of any third-party service it intends to use in connection with Ring Jenny.

Payment Gateway Integration

If the Business chooses to use payment gateway integration features of Ring Jenny, the following additional terms apply:

  • Where Ring Jenny interfaces with the Business's payment gateway account, Lunacal is not a party to any transactions conducted between the payment gateway, the Business, and the End User.
  • Lunacal does not process payment card or other financial data associated with such transactions unless expressly stated.
  • Lunacal is not responsible for the security of any payment card data submitted to third-party payment gateways.
  • The Business is solely responsible for payments, refunds, chargebacks, cancellations, taxes, receipts, and disputes related to services sold by the Business.
  • The Business is strongly advised to review and comply with the Terms of Service of any payment gateway it intends to use in connection with Ring Jenny.

Termination

Termination by the Business

You may terminate your Ring Jenny account at any time by ceasing to use the Services or by contacting us at [email protected]. Any fees paid for Ring Jenny up to the date of termination are non-refundable unless otherwise required by applicable law.

Termination for Cause

Either Party may terminate this Agreement for cause:

  • By providing thirty (30) days' written notice of a material breach to the other Party, if such breach remains uncured at the end of the notice period. The non-defaulting Party may then terminate the Agreement with immediate effect.
  • With immediate effect if the other Party becomes the subject of bankruptcy proceedings or any other insolvency-related event, such as receivership, liquidation, or assignment for the benefit of creditors.

Effect of Termination

Upon termination of your use of Ring Jenny for any reason:

  • Your rights to access and use any part of the Services will immediately cease.
  • You must remove all Ring Jenny Content from your hard drives and other storage media and destroy all copies of the Content in your possession.
  • Lunacal may disable your voice agents, phone numbers, call flows, integrations, dashboards, and other account features.
  • Any unpaid amounts owed to Lunacal will become immediately due and payable.
  • Lunacal may retain or delete Business Data, Call Data, and End User Data in accordance with its Privacy Policy, legal obligations, and internal retention practices.

Our Responsibilities

Provision of Services

Subject to these Terms of Use, Lunacal agrees to:

  • Provide Ring Jenny to the Business and grant the Business a limited, non-exclusive, non-transferable, non-sublicensable, revocable, worldwide license to use Ring Jenny in accordance with the terms of the applicable Subscription Plan, solely for the Business's internal business purposes.
  • Offer commercially reasonable technical support via email or other designated methods, as outlined in the Business's Subscription Plan.

Limitations on Support Obligations

Lunacal is not obligated to provide assistance or support, including but not limited to error corrections, upgrades, updates, bug fixes, enhancements, call script configuration, call flow setup, integrations, or other forms of technical assistance, beyond what is specified in the Subscription Plan.

User Submissions

Lunacal is not responsible for the storage or deletion of any User Submissions. Lunacal reserves the right, at its discretion, to remove any User Submissions or terminate a user account without explanation or cause.

Monitoring of Service Usage

Lunacal may monitor your use of Ring Jenny, to the extent permitted by law, to ensure compliance with these Terms of Use, meet legal requirements, prevent misuse, improve service quality, troubleshoot issues, or safeguard our rights and the rights of others.

Indemnification

You agree to indemnify, defend, and hold harmless Lunacal LLC and Lunacal Private Limited, their parent organizations, affiliates, subsidiaries, officers, directors, employees, agents, attorneys, and contractors, collectively the "Lunacal Indemnitees," from and against any and all claims, damages, losses, liabilities, costs, and expenses, including, without limitation, reasonable attorneys' fees and court costs, arising out of or in connection with:

Business Data, Call Data, and Use of Services

  • Claims alleging that the use of Business Data, Call Data, End User Data, scripts, instructions, or configuration provided by you infringes upon, misappropriates, or violates the rights of a third party;
  • Claims resulting from the unauthorized use, misuse, or modification of Ring Jenny by you or your authorized users;
  • Claims arising from your failure to obtain required consent for call recording, call monitoring, call transcription, AI disclosure, marketing communications, or data processing;
  • Claims arising from information provided by Ring Jenny based on Business Data, scripts, prompts, rules, or instructions supplied by you.

Violation of Terms or Law

  • Claims alleging that your actions, omissions, or use of Ring Jenny violate applicable laws, regulations, or third-party rights, or breach your representations and warranties under this Agreement.

Breach of Agreement

  • Claims arising out of or related to your breach of this Agreement, including but not limited to any breach of your representations and warranties.

Limitation of Liability

Lunacal LLC and Lunacal Private Limited, their officers, directors, employees, agents, or affiliates, collectively the "Lunacal Parties," shall not be liable to you for any indirect, incidental, special, punitive, or consequential damages arising out of or in connection with:

  • Service Content and Errors: Errors, mistakes, inaccuracies, omissions, or incomplete information in the content of Ring Jenny, including AI-generated responses, call transcripts, call summaries, booking notes, or caller details.
  • Personal Injury or Property Damage: Any personal injury or property damage resulting from your use of Ring Jenny.
  • Unauthorized Access or Breach: Unauthorized access to or use of Lunacal servers and/or any personal information stored within.
  • Service Interruptions: Interruptions or cessation of transmissions to or from Ring Jenny, failed calls, failed transfers, failed messages, failed integrations, phone number outages, telephony provider issues, or interoperability issues.
  • Viruses and Malicious Code: Bugs, viruses, Trojan horses, or other harmful code transmitted through Ring Jenny by any third party.
  • Errors or Omissions: Errors or omissions in any content provided through Ring Jenny.
  • User Submissions and Third-Party Conduct: User submissions or the defamatory, offensive, or illegal conduct of any third party.
  • Service Usage or Inability: Your inability to use any portion of Ring Jenny or any loss or damage, including loss of data, missed calls, lost leads, missed bookings, incorrect bookings, lost revenue, or business interruption, resulting from your use of Ring Jenny.

This limitation of liability applies to all claims, whether based on warranty, contract, tort, negligence, strict liability, or any other legal theory, and regardless of whether Lunacal has been advised of the possibility of such damages.

Maximum Liability

To the fullest extent permitted by law, Lunacal's total liability to you for any damages arising from any cause will not exceed the amount of your last payment for the Services that caused such damages.

Your only remedy for any dispute with Lunacal is to stop using Ring Jenny.

Warranty Disclaimer

The Services are provided on an "AS IS," "WITH ALL FAULTS," and "AS AVAILABLE" basis. You agree that your use of Ring Jenny is at your sole risk. Lunacal does not guarantee uninterrupted access to Ring Jenny, that Ring Jenny will be available at all times or locations, that Lunacal will have adequate capacity for all users, that calls will always be answered, that call quality will always be clear, that AI responses will always be accurate, or that Ring Jenny will operate with your equipment or meet your requirements.

To the fullest extent permitted by law, Lunacal LLC, Lunacal Private Limited, their officers, directors, employees, and agents disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, availability, and suitability.

Lunacal makes no warranties or representations regarding the content of any third-party sites linked to Ring Jenny. Lunacal does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through Ring Jenny or any linked website, nor will Lunacal be a party to or in any way responsible for monitoring any transaction between you and third parties.

You are solely responsible for ensuring compliance with all applicable local laws in your use of Ring Jenny.

Contracting Entity and Applicable Law

Ring Jenny is a product owned and operated by Lunacal LLC and Lunacal Private Limited.

For users located in India, the contracting entity may be Lunacal Private Limited.

For users located outside India, the contracting entity may be Lunacal LLC, unless otherwise specified in an order form, invoice, subscription agreement, or other written agreement.

Lunacal LLC and Lunacal Private Limited may provide, operate, support, process data for, invoice, or otherwise administer Ring Jenny, depending on the Business's location, billing setup, operational needs, and applicable law.

Both Parties consent to the exclusive jurisdiction and venue of the courts located in Bengaluru, Karnataka, India, for all disputes arising out of or relating to the use of Ring Jenny, unless otherwise required by applicable law or specified in a separate written agreement.

Entire Service Agreement

These Terms of Use, along with any other legal policies posted on the Ring Jenny Sites, including the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement, the "Service Agreement," between Lunacal and you regarding your use of Ring Jenny.

If any provision of these Terms is deemed illegal or unenforceable by a court of competent jurisdiction, that provision will be modified to the extent necessary to make it enforceable while maintaining its original intent. If modification is not possible, the provision will be severed, and the remaining provisions of these Terms will remain in full effect.
